Understanding Your Director Duties Score

UK company directors have legal responsibilities under the Companies Act 2006 and other legislation. These are not optional — they are personal obligations that come with the role. Failing to meet them can result in fines, disqualification, and in some cases personal liability for company debts. The duties you have not ticked are the ones that need your attention.

What happens if I do not file my company accounts on time?

Companies House imposes automatic penalties for late filing. For private companies, penalties start at 150 pounds (up to 1 month late) and rise to 1,500 pounds (over 6 months late). Persistent late filing can also lead to the company being struck off the register and the director being disqualified.

Can I be personally liable for company debts as a director?

In most cases, limited liability protects your personal assets. However, directors can become personally liable if they allow the company to trade while insolvent (wrongful trading), commit fraud, give personal guarantees for business loans, or fail to pay certain tax debts due to negligence.

What are the statutory registers I need to maintain?

Every company must maintain registers of: members (shareholders), directors, secretaries (if appointed), persons with significant control (PSC), and charges (loans secured against company assets). These can be kept at the registered office or on the Companies House public register.

Do I need to report changes to Companies House?

Yes. Any changes to directors, the registered office, share capital, or PSC details must be reported within 14 days. Failure to report changes is a criminal offence, though in practice Companies House usually sends reminders before taking enforcement action.

What does it mean to exercise reasonable care and skill as a director?

You are expected to make decisions with the care that a reasonably diligent person would use. This does not mean you must be an expert in everything, but you cannot claim ignorance of basic duties. If you lack expertise in an area (such as finance), you are expected to seek professional advice.
